You (henceforth referred to as “You” or “User”) wish to use Lvigrasc.com, LLC, a Tennessee limited liability company d/b/a Lvigrasc.com (“Lvigrasc.com”), and by using lvigrasc.com.com (the “Site”), you accept the following terms and conditions in exchange for these services.
Provided by Lvigrasc.com Services
Users can upload files to the site server for processing and converting PDF documents, as well as other useful tools connected to and as specified on this site (collectively referred to as the “Services”). Lvigrasc.com is a cost-free, ad-free, privacy-conscious website. By using this website and the services it provides, you accept all of the terms and conditions stated here, as well as all associated obligations and liabilities. Since there are presently no registration requirements or costs associated with using the site, your use of it constitutes your express recognition and consent to all of its terms and conditions.
User Behavior
Any content that users upload to the Site or use through the Services is entirely their responsibility. If you conduct an action or actions that Lvigrasc.com determines violate any law, regulation, contract, or terms and conditions herein, Lvigrasc.com retains the right, in its sole and absolute discretion, to take appropriate action to delete or otherwise limit your usage of the Site and Services. At Lvigrasc.com's exclusive and final discretion, users agree not to use the Site and/or Services in any way that is illegal or improper, including but not limited to the following:
(a) uploading, converting, or using the Site and/or Services in any way with regard to anything that (i) violates any party's or third party's intellectual property or other proprietary rights; (ii) includes computer viruses or other computer code, files, or programs intended to disrupt, destroy, or restrict the operation of any hardware, software, or telecommunications equipment; (iii) presents or generates a danger to someone's privacy or security; (iv) amounts to unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, "junk mail," "spam," "chain letters," "pyramid schemes," "contests," "sweepstakes," or any other type of solicitation; (v) is illegal, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful racially, ethnically, or otherwise objectionable in Lvigrasc.com's sole discretion; or (vi) restricts or inhibits any other person from using or enjoying the Service, or may expose Lvigrasc.com or its users to any kind of harm or liability;
(b) Engaging in any activity that interferes with or disrupts the Site, Service, servers, or networks connected to the Services, or that violates any applicable local, state, federal, or international law or legally binding regulations;
(c) Engaging in any activity that harvests or gathers user information from the Site and/or Services, if applicable, via electronic or other means in order to send unsolicited emails or other unsolicited communications;
(d) Uploading or using content that encourages or supports any criminal activity or enterprise or that provides educational information about illegal activities; or
(f) Engaging in any activity to obtain or attempt to access or otherwise obtain any materials or information through any means not purposefully made available or provided for through the Site or Services.
Individual Use
You may use the site and its services for personal or professional purposes. For any part of the Services, use of the Services or Site, or access to the Services or Site, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, edit, sell, resell, exploit, transfer, or upload for any commercial purposes.
Costs
At this time, using the Site or the Services is not subject to any costs. Despite the aforementioned, Lvigrasc.com maintains the sole authority to impose fees and charges for these services at any moment and for any cause.
Intellectual Property Rights
Software, Trademarks, and Service Content.
You understand and consent to the possibility that certain features or information ("Service information") on the Site and Services may be covered by copyright, patents, trademarks, trade secrets, or other intellectual rights and laws. With the exception of your own User Content (as defined below) that you lawfully upload to the Service, you agree not to alter, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Site or the Service Content, in whole or in part, unless specifically permitted by Lvigrasc.com. You agree not to use any data mining, robots, scraping, or other data collection or extraction techniques in conjunction with your use of the Services. It is completely forbidden to use the Services or the Service Content in any way other than as expressly permitted below. The "Software" is the technology and software that Lvigrasc.com, our affiliates, and our partners own and use to provide the Services or distribute them. You promise not to sell, assign, sublicense, or otherwise transfer any rights in the software, nor to copy, alter, make a derivative work of, reverse engineer, reverse assemble, or otherwise try to find any source code. Lvigrasc.com reserves all rights not specifically granted above.
Third-Party Content.
Lvigrasc.com will never be held responsible for any third-party content or materials, including those of users. This includes, but is not limited to, any errors or omissions in the content or any loss or damage of any kind that may occur from using any of the content. You agree that Lvigrasc.com and its designees have the right (but not the responsibility) to reject or remove any content that is made accessible through the Service, but that Lvigrasc.com has no obligation to pre-screen content. Without restricting the aforementioned, Lvigrasc.com and its designees reserve the right to delete any content that contravenes these Terms and Conditions or that Lvigrasc.com, in its sole discretion, deems to be otherwise objectionable. You acknowledge that using any content entails risks that you must consider and accept, including any dependence on its accuracy, completeness, or utility. You understand and agree that using the Services is at your own risk since some of the content made available through them may contain explicit language or pictures that are not suitable for all audiences.
User-Submitted Content via the Service.
Regarding the content or other materials you share with other users or recipients or upload through the Services (collectively, "User Content"), you affirm and guarantee that you are the owner of all rights, title, and interest in and to such User Content, including, but not limited to, all copyright and publicity rights contained therein. Any alterations or edits you make to the User Content are not Lvigrasc.com's responsibility. You understand that Lvigrasc.com is merely a platform service for uploading and otherwise altering the User Content, and that Lvigrasc.com is not taking on any ownership or relationship with or to any of the User Content. The User hereby grants Lvigrasc.com a limited non-exclusive license to use the User Content.
Examining and Saving User Content
Lvigrasc.com does not review any user-submitted content on the site and is not liable for any of it. The uploading and usage of your User Content are entirely your responsibility. Fifteen (15) minutes after the processing of any User Content is finished, Lvigrasc.com makes every attempt to remove any User Content that has been uploaded to the Site or through the Services. By acknowledging this deletion, you absolve Lvigrasc.com of all liability arising from it. Furthermore, you release Lvigrasc.com from any and all claims or damages relating thereto in the event that Lvigrasc.com is unable to remove the User Content within fifteen (15) minutes for any reason. You acknowledge that you upload all user content at your own risk and that Lvigrasc.com is not liable for any user content that appears on the site, including any potential access by other users or third parties. Lvigrasc.com makes no claims or guarantees regarding the security and privacy of User Content published to the Site since it does not save or gather any personally identifiable information from such content. Lvigrasc.com has the right to preserve content and disclose it if required by law or if it believes in good faith that doing so is reasonably necessary to comply with legal process, applicable laws, or government requests; enforce these Terms of Service; respond to claims that any content violates third parties' rights; or protect Lvigrasc.com, its users, and the public's rights, property, or personal safety.
Electronic Signatures
The Site enables Users to use an electronic signature feature as part of the Services. Users agree that Lvigrasc.com will not preserve or store User Content including electronic signatures for longer than the fifteen (15) minutes specified in Section 6. Following the completion of an electronic signature, Lvigrasc.com waives all liability pertaining to the User Content and the User assumes total and absolute responsibility for maintaining and protecting it going forward. Additionally, the user acknowledges that using the electronic signature feature of the services is at the user's own risk and that Lvigrasc.com makes no guarantees or representations regarding its enforceability. The user also releases Lvigrasc.com from all liability in the event that an electronic signature generated through the site or services is declared invalid for any reason or for no reason at all.
Liability and Release
You give Lvigrasc.com, its officers, employees, directors, and agents, as well as Lvigrasc.com affiliates and their officers, employees, directors, and agents, permission to release, indemnify, and hold harmless any and all losses, damages, costs, including reasonable legal fees, rights, claims, actions, and injuries (including death) resulting from or related to your use of the Site and/or Services, any User Content, your connection to the Service, your violation of these Terms and Conditions, or your violation of another person's rights.
Notice of Warranties
IT IS AT YOUR OWN RISK TO USE THE SITE AND SERVICES. An "as is" and "as available" basis governs the services. INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, LVIGRASC.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. Lvigrasc.com does not guarantee that (i) the site and services will fulfil your needs, (ii) the services will be uninterrupted, timely, secure, or error-free, (iii) the results obtained from using the services will be accurate or dependable, or (iv) the quality of any products, services, information, or other material that you purchase or obtain through the services will meet your expectations.
Liability Restrictions
Whether based on contract, tort, negligence, strict liability, or otherwise, you expressly understand and agree that Lvigrasc.com will not be liable for any indirect, incidental, special, consequential, damages, or damages for loss of profits, including but not limited to damages for loss of goodwill, use, data, or other intangible losses (even if Lvigrasc.com has been informed of the possibility of such damages). These damages will arise from: (i) the use or inability to use the site and/or service; (ii) unauthorized access to or alteration of your transmissions or data; (iii) statements or conduct of any third party on the site; or (Iv) any other matter relating to your use of the site and/or services.
Venue and Governing Law
The laws of the State of Tennessee, except its conflict of law provisions, shall govern and be construed in conformity with these terms and conditions. By using the Site and Services, you consent to the exclusive jurisdiction of the courts in Davidson County, Tennessee, for the purposes of any and all litigation resulting from or connected to the User's use of the Site and/or Services. By doing this, you give up any objections to the Tennessee forum on the grounds of forum non conveniens, lack of venue, or any other jurisdictional basis. In the event that Lvigrasc.com takes legal action to enforce its rights under this Agreement, the other party will be responsible for paying any costs and expenses incurred by Lvigrasc.com, including reasonable legal fees and court costs.
Other
The remaining elements of these terms and conditions shall remain fully enforceable in the event that any one of them is deemed invalid or unenforceable for any reason. Any changes, additions, or modifications to these terms may be made at any time by Lvigrasc.com, and they will become enforceable against the user upon future use of the website following the posting of the updated terms and conditions.
By using the site and/or services, the user has had the chance to read and review these terms and conditions and hereby agrees to them voluntarily, freely, and without coercion.
